Overview

These Terms govern your access to and use of the websites, services, filings, document preparation, compliance support, registered agent coordination, address support, electronic signing workflows, and related administrative services provided by ONE LLC ("ONE LLC," "we," "us," or "our"). These Terms apply to services ordered through our main website or through any designated ONE LLC service channel.

By using our Services, placing an order, requesting a filing, signing a document, or communicating with our team about a service request, you agree to these Terms and to our Privacy Policy. We may update these Terms from time to time. Continued use of our Services after an update means you accept the updated Terms.

These Terms take precedence over any prior or existing agreements that may apply. They do not create any rights for third parties who are not a party to these Terms.

Our Agreement Is with You

These Terms apply to you (the individual), any entities for which you engage us to provide Services, and any third parties you authorize to act on your behalf. You are personally responsible for the obligations outlined in our Terms. It is also your responsibility to inform any authorized third parties of these obligations.

Registered Agent Service and Business Filings

Receiving Legal Documents

As your registered agent (where applicable), we accept legal documents on your behalf and make them available through your account. You agree that we may open, scan, and transmit Legal Documents to your account in connection with providing Services. Our registered agent services are limited to receipt and forwarding of Legal Documents.

Regular Documents

Documents received at an address used for your company that are not legal service of process are considered "Regular Documents." Handling of Regular Documents depends on the specific service plan purchased. Limits, forwarding options, storage periods, or additional handling fees may apply.

Receipt of Packages

Unless a service plan expressly includes mail or package handling, we do not accept packages or general mail on your behalf. Packages or mail sent outside the scope of the purchased service may be refused, returned to sender, or disposed of after a reasonable holding period.

Document Storage

Physical documents are destroyed 30 days after digital scanning. Clients are responsible for requesting forwarding of important original documents before this period.

Electronic Signatures

We may need to prepare, transmit, or file documents based on information and authorization you provide. When a signature is required, you authorize us to use the signature or electronic signing workflow approved for the specific service request. You are responsible for reviewing documents before signing or authorizing submission.

Accurate Information Required

Accurate information is essential for the filings and services we perform on your behalf. You are responsible for providing and maintaining accurate and up-to-date information. Failure to do so is a material breach of these Terms and may result in rejected filings, delays, additional fees, or termination of Services. We are not responsible for consequences caused by inaccurate, incomplete, outdated, or misleading information supplied by you or your authorized representatives.

Refunds

Once we have submitted your filing documents to government authorities, fees paid are generally non-refundable.

Non-Refundable

  1. Government Filing Fees: Paid to the government — non-refundable under any circumstances.
  2. Service Fees After Submission: Once documents are submitted, our work is considered complete and service fees are non-refundable.

Eligible for Refund

  1. Errors on Our Part: If an error is attributable to our preparation or submission, we will correct the issue at no cost or issue a refund of our service fee.
  2. Cancellation Before Submission: Service fees may be refunded if cancellation is requested before documents are submitted, minus any costs already incurred.

Refund requests must be submitted in writing to HELLO@ONE.LLC within 30 days of the original order date. Approved refunds will be processed within 10 business days.

SMS / Text Messaging

By providing your mobile number, submitting a form, creating or accessing an account, requesting a filing, signing a document, or otherwise asking us to contact you by text message, you consent to receive SMS/text messages from ONE LLC and its service providers for the service-related purposes described in these Terms.

Program purpose. SMS messages may be used for account verification, one-time passcodes, identity or security checks, file signing notifications, document signing reminders, order status updates, filing or compliance updates, customer support follow-ups, payment or invoice notices, and other transactional or service-related communications connected to your request.

Consent is not a condition of purchase. Your consent to receive SMS messages is not required as a condition of purchasing any service from us. If you do not wish to receive SMS messages, you may contact us by email and request an alternative communication method where available.

Message frequency. Message frequency varies based on your requests, account activity, document signing activity, and service status. We do not use SMS for unrelated third-party marketing.

Rates and carriers. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

Opt-out and help. You may opt out of SMS messages at any time by replying STOP. After opting out, you may receive one final confirmation message. For help, reply HELP or contact us at HELLO@ONE.LLC.

Privacy. We handle phone numbers and SMS-related information in accordance with our Privacy Policy. We do not sell mobile numbers or SMS opt-in data. SMS opt-in information is not shared with third parties for their independent marketing purposes.

Disputes

One-Year Limitation

Any action relating to a dispute arising from these Terms or our Services must commence within one year after the cause of action accrues.

Binding Arbitration

Disputes will be resolved through binding arbitration under JAMS Comprehensive Arbitration Rules. Claims will be on an individual basis, and class actions are not permitted. All disputes will be heard by a single arbitrator.

We Are Not Attorneys or Fiduciaries

ONE LLC provides business formation and document filing services and general business information. We do not offer legal, accounting, or fiduciary advice. Communications between us are not protected as attorney-client communications. When legal or financial advice is required, we recommend consulting a qualified professional.

Indemnification

You agree to indemnify and hold ONE LLC harmless from any claims, liabilities, or expenses arising from your breach of these Terms, wrongful use of our Services, or failure to provide accurate information.

Intellectual Property

ONE LLC owns all rights to its intellectual property, including the ONE.LLC, INC.PAGE, SIGN.GL, and BILL.GL platforms. Using our services does not grant you any rights to our intellectual property.

Disclaimer of Warranties & Limitation of Liability
Governing Law

This Agreement is governed by the laws of the State of South Dakota. Any legal actions must be filed in the appropriate courts of Wyoming. If any provision is found to be unenforceable, the remainder of the Agreement remains in full effect.

ONE LLC is not liable for service interruptions or delays due to events beyond our reasonable control, including natural disasters, war, government actions, or other force majeure events.
